The vessel "Staatsolie V" has served Staatsolie for fuel transportation since 1988. Due to current industry, safety, environmental, and operational standards, the vessel can no longer be utilized for fuel transportation, resulting in the decision to offer the vessel for sale. Staatsolie hereby invites interested and qualified parties to submit bids for the purchase of the vessel described below, through a public tender process. 

Vessel Description

Viewing of the Vessel

The vessel will be available for physical viewing at the Tout-Lui-Faut jetty on Wednesdays & Thursdays, between 08:00 and 15:00, until the bid submission deadline. Viewing is by prior appointment only. To schedule an appointment, please contact Kevin Westenburg at kwestenburg@staatsolie.com.

The following is required to enter the premises:

• Pass a safety induction provided by Staatsolie;
• PPE such as safety boots, hard hat, safety glasses at bidder’s own cost;
• Follow the instructions provided by Staatsolie during the visit.

Viewing of the vessel shall be carried out at the bidder’s own cost.

Condition of Sale

1. The vessel is offered for sale on an “as is, where is” basis, without any warranties or guarantees, whether expressed or implied.
2. Bidders are deemed to have satisfied themselves, as to the condition, demobilization requirements and suitability of the vessel prior to submitting a bid.

Tender Procedure 

1. The sale shall be conducted by way of an open public tender. 
2. Interested parties are invited to submit all required documentation and their best and final offer as indicated in the below section “Submission of Bids”. 
3. Staatsolie reserves the right, at its sole discretion, to: 

   • • Accept or reject any bid, whether the highest or otherwise;

     • Negotiate with any bidder;

     • Request clarifications or additional information from bidders;

     • Cancel or modify the tender at any stage for due reason without prior notice and without incurring any liability. In the event of a cancellation or modification, potential bidders will be informed promptly.

Clarifications and Questions (Q&A Procedure)

1. All clarification requests shall be submitted in writing to mjankie@staatsolie.com and tenders_downstream@staatsolie.com or during physical viewing of the vessel no later than September 25, 2026).
2. Clarification requests received after the stated deadline will be disregarded at the sole discretion of Staatsolie.
3. Any question raised by a bidder during the tender process or physical viewing of the vessel that may be relevant to other bidders will be shared, together with Staatsolie's response on the Staatsolie website. Only written responses issued by Staatsolie shall be considered official. Interested parties are responsible for monitoring the website for any clarification or other tender-related communications.

Submission of Bids

1. Deadline for submission: September 30, 2026, at 15.30 Suriname Time (UTC-3)
2. Bids and related documentation must be submitted in English or Dutch.
3. Each submission or inquiry must include:

• • Correct reference to this tender (Sale of Staatsolie V Vessel);
  • Contact details, including full name, role, contact email and contact number;
  • Offered purchase price on the bidder's official company letterhead and signed by a duly authorized representative of the bidder provided with a stamp, and clearly stating the bid price of minimum USD 550,000.00 (exclusive of taxes, duties, notary transfer costs, registration fees, and any other costs associated with the sale, transfer and demobilization of the vessel);
  • Recent extract from the Chamber of Commerce register (issued no more than 6 months ago), including a copy of the most recent Articles of Association;
  • Evidence of shareholding (e.g. shareholders’ register);
  • Copies of identification (ID/passport) of each shareholder and director, as reflected in the Chamber of Commerce extract;
  • Proof of funds/financial capability (recent bank reference letter confirming the bidder's financial standing);
  • Written approval of all members of the supervisory board or all beneficial owners of the organization by means of signing on the bidder's official company letterhead to purchase the vessel for the offered price for the intended assignment of the vessel;
  • Willingness to acquire Staatsolie’s spare parts inventory associated with the vessel and subject to mutually agreed pricing and terms;

The declarations below must be downloaded, completed, signed, and stamped with the company’s official stamp, and submitted with the bid.

• • Declaration of intended use and destination of the vessel;
  • Declaration of integrity and compliance with applicable laws and regulations;
  • Declaration of compliance with Health, Safety, and Environmental standards;
  • Declaration of accepting tender terms.

Late or incomplete submissions may be disregarded at Staatsolie’s discretion.

Award Criteria

The vessel shall be awarded to the bidder submitting the highest acceptable bid, provided that:

1. The purchase price is not less than USD 550,000, exclusive of taxes, duties, notary transfer costs, registration fees, and any other costs associated with the sale, transfer and demobilization of the vessel;
2. The bidder fully complies with all tender and submission requirements;
3. The bidder's intended assignment of the vessel shall be approved by Staatsolie;
4. The bidder has successfully passed Staatsolie's due diligence and compliance review;
5. The bidder has evidence of all required internal approvals and authorizations for the acquisition according to applicable corporate authorization documents;
6. The bidder demonstrates sufficient financial capability to purchase the vessel and satisfy all related payment obligations;
7. The bidder accepts all terms and conditions of the tender and the Sale Agreement.
8. The bidder shall indicate its willingness to acquire the spare parts inventory associated with the vessel. Preference may be given to bidders willing to purchase the spare parts inventory in addition to the vessel, subject to mutually agreed pricing and terms, separately and not part of the purchase price.

Compliance with criteria 1 through 7 is mandatory. Failure to satisfy any one of these requirements may result in disqualification, regardless of the bid amount.

Award of Sale

1. Bidders are expected to be informed of the tender outcome within six (6) weeks after the bid submission deadline. This timeframe is indicative only and remains subject to change at Staatsolie's discretion.
2. The successful bidder will be notified in writing.
3. The unsuccessful bidder(s) will also be notified in writing.
4. The sale shall be subject to the execution of a formal Sale Agreement.
5. Transfer of ownership shall occur upon receipt of full payment and completion of the Sale Agreement and other formalities.

Costs and Taxes

All costs and expenses incurred by the bidder in connection with this tender shall be borne entirely by the bidder.

After awarding, all costs associated with the purchase, including but not limited to taxes, duties, registration, notary transfer costs and demobilization costs shall be borne by the buyer, unless otherwise agreed in writing.
